Terms and Conditions

01 Definitions

For the purposes of this Agreement:

"Services"

means any SEO, link building or guest posting services provided by LinkPanda.

"Client Materials"

means any content, information or materials you provide for use in the Services.

"Deliverables"

means the final content, reports or outputs generated by LinkPanda as part of the Services.

02 Scope of Services

LinkPanda provides link placement, guest posting and related SEO services as agreed in each individual order.

All Deliverables will be provided "as-is" based on the specifications agreed upon in the project brief or order confirmation.

We reserve the right to modify processes or methodologies in accordance with SEO best practices without materially affecting the agreed scope of Services.

03 Client Responsibilities

You agree to:

• Provide accurate, complete and timely Client Materials necessary for us to perform the Services.
• Ensure that all materials you provide do not infringe any third-party rights or violate applicable laws.
• Review and approve Deliverables promptly after receipt.
• Make payments in accordance with the agreed schedule.

Failure to provide required materials or approvals may result in delays or additional charges.

04 Orders, Quotes and Pricing

• All orders must be submitted in writing or via our designated order form.
• Quotes are valid for the period specified and are subject to change thereafter.
• Unless otherwise stated, pricing does not include taxes, duties or fees applicable in your jurisdiction.
• LinkPanda reserves the right to refuse any order at our discretion.

05 Payment Terms

• Payments are due in full according to the invoice schedule unless otherwise agreed.
• Late payments may incur interest at a rate of 2% per month.
• Services may be paused or suspended until outstanding payments are settled.

06 Intellectual Property

• You retain ownership of your Client Materials.
• LinkPanda retains all intellectual property rights in methodologies, systems and content created by us, except where explicitly assigned.
• Upon full payment, you will receive a non-exclusive license to use the Deliverables for the agreed purposes.

07 Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with the Services.

Confidential information may only be disclosed to employees, contractors or partners who need it to perform the Services and are bound by similar confidentiality obligations.

08 Warranties and Disclaimers

LinkPanda provides Services on a commercially reasonable basis.

We do not guarantee specific search engine rankings or outcomes. SEO results can be influenced by multiple factors outside our control.

To the maximum extent permitted by law, LinkPanda disclaims all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.

09 Limitation of Liability

LinkPanda's total liability for any claim arising out of this Agreement shall not exceed the total fees paid for the Services under the relevant order.

We are not liable for indirect, incidental or consequential damages, including loss of revenue, profits or business opportunities.

10 Termination

• Either party may terminate the Agreement with 14 days written notice.
• LinkPanda may suspend Services immediately for non-payment or breach of these Terms.
• Upon termination, all unpaid fees become immediately due, and we may retain copies of Deliverables for record-keeping.

11 Data Protection

LinkPanda will process personal data in accordance with our Privacy Policy.

By using our Services, you consent to the collection, use and storage of personal data as described in that policy.

12 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13 Changes to Terms

LinkPanda reserves the right to update these Terms and Conditions at any time.

Clients will be notified of significant changes, and continued use of our Services constitutes acceptance of the updated Terms.
